Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nikkel, including our website, Chrome extension, and web dashboard (together, the "Service"), operated by Dipanjan Adhikari, a sole proprietorship registered in India ("Nikkel," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Nikkel is a web review and annotation tool that lets users leave feedback directly on websites (and, where available on your plan, PDFs and images), and share that feedback with collaborators.
We may add, change, or remove features at any time. We'll try to give notice of material changes where reasonably possible, but we aren't obligated to.
2. Accounts
- You must sign in via Google OAuth to create an account.
- You're responsible for all activity that happens under your account.
- You must provide accurate information and keep it up to date.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
- We may suspend or terminate accounts that violate these Terms.
3. Plans, Pricing, and Payment
Nikkel offers the following plans:
- Free — website reviews only, 1 project, 1 collaborator, shareable review links, dashboard access.
- Pro — website, PDF, and image review, unlimited projects, up to 5 collaborators, shareable review links, priority support. Billed monthly or annually.
- Enterprise — custom plans with expanded collaboration, SSO, priority SLA support, and custom contracts, arranged directly with us.
3.1 Billing via Paddle
All payments for paid plans are processed by
Paddle.com Market Limited ("Paddle"), acting as our Merchant of Record. This means Paddle is the seller of record for your purchase, handles billing, invoicing, and applicable sales tax/VAT, and your transaction is subject to
Paddle's Buyer Terms. By subscribing to a paid plan, you agree to those terms in addition to ours.
3.2 Subscription Renewal
Paid plans renew automatically at the end of each billing period (monthly or annually) unless canceled beforehand. You can cancel at any time from your account's billing settings; cancellation takes effect at the end of the current billing period, and you'll retain paid-plan access until then.
3.3 Price Changes
We may change our prices. If we do, we'll give notice before the change applies to your next renewal. Continuing to use the Service after a price change takes effect means you accept the new price.
4. Your Content
- You retain ownership of any content you upload, annotate, or otherwise submit to the Service ("Your Content").
- You grant us a limited license to host, store, display, and process Your Content solely to operate and provide the Service to you and your collaborators.
- You're responsible for ensuring you have the rights to any website, PDF, image, or other material you submit for review, and that doing so doesn't violate any third party's rights or any law.
- We may remove content that violates these Terms or applicable law.
5. Acceptable Use
- Use the Service to review, upload, or share unlawful, infringing, or harmful content.
- Attempt to access accounts, data, or systems you're not authorized to access.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use the Service to build a competing product.
- Interfere with or disrupt the Service, including via excessive automated requests.
- Misuse the sharing or collaboration features to spam or harass others.
We reserve the right to suspend or terminate accounts that violate this section.
6. Collaboration and Sharing
- Project owners can invite collaborators and generate shareable review links.
- Anyone with a review link may view the project as a guest without signing in; invited collaborators must sign in to participate fully.
- All collaborators can add annotations and comments. Only the project owner can delete a project or delete a pin/annotation.
- You're responsible for who you invite or share links with, and for any content they add to your projects.
7. Intellectual Property
The Service, including its design, code, branding, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or branding.
8. Third-Party Services
The Service integrates with third-party providers (including Google for authentication, Paddle for billing, and hosting/infrastructure providers). Your use of those integrations may be subject to their own terms and privacy policies.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, we won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms excludes or limits liability that can't be excluded or limited under applicable law.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or if required by law. Upon termination, your right to use the Service ends, though provisions of these Terms that by their nature should survive (e.g., ownership, disclaimers, limitation of liability) will continue to apply.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll post the updated Terms and update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of Poland, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Poland, unless applicable consumer protection law in your country of residence gives you the right to bring a claim elsewhere.
